1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of modelhive.ai, the ModelHive gateway, dashboard, APIs, and related services (collectively, the "Service").
By creating an account, obtaining API access, loading wallet balance, or otherwise using the Service, you agree to be bound by these Terms.
2. Service Overview
ModelHive provides a software and infrastructure layer for accessing and optimizing Large Language Model ("LLM") APIs and related AI services.
The Service may include, depending on plan, configuration, and availability:
- semantic caching
- prompt compression
- masking or filtering of sensitive data, including PII
- governance and policy controls
- multi-provider routing
- usage analytics and operational telemetry
ModelHive does not develop, own, or operate the underlying third-party AI models and acts as an intermediary routing and optimization layer.
We may modify, add, remove, suspend, or replace models, providers, features, or technical controls at any time.
3. Eligibility
You must be at least 18 years old or otherwise have the legal capacity to enter into this agreement.
If you use the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
4. Accounts and Access
You are responsible for:
- maintaining the confidentiality of your account credentials, API keys, and access tokens
- all activities that occur under your account or tenant
- ensuring that billing, contact, and account information remains accurate and up to date
ModelHive may issue or manage access credentials, tenant environments, and provider connectivity as part of the Service.
You must not share access with unauthorized parties or attempt to bypass account, budget, or security controls.
5. Plans, Pricing, Wallet, and Credits
The Service may be offered under public plans such as Sandbox, Growth, and Efficiency, or under custom commercial terms.
Unless otherwise agreed in writing, the Service operates on a prepaid wallet and credit basis:
- Customers may load wallet balance using supported payment methods
- Wallet balances may be denominated in EUR or other supported currencies
- ModelHive may internally represent prepaid balances as service credits or usage allocations for operational purposes
- Usage is deducted in real time based on the applicable plan, token consumption, activated features, routing behavior, and other charges disclosed by ModelHive
ModelHive may use a shared discount or performance-based pricing model. Where optimization features such as caching or prompt compression reduce the applicable baseline cost, ModelHive may retain a portion of the estimated savings and allocate the remaining portion as economic benefit to the Customer, as determined by the applicable plan, pricing page, or Order Form.
Payments may be processed by third-party providers such as Stripe. We do not store full payment card details.
Unless required by law or expressly agreed in writing:
- prepaid balances, credits, and fees are non-refundable
- taxes, duties, and third-party processing fees are the Customer's responsibility
6. Technical Limits, Fair Use, and Service Controls
To protect the shared infrastructure and preserve service quality, ModelHive may apply:
- rate limits
- throughput caps
- abuse detection
- feature gating
- technical thresholds and compatibility checks for optimization features
Certain features, including compression or caching, may only apply where technically compatible or above minimum technical thresholds determined by ModelHive.
We may temporarily throttle, restrict, or suspend usage that is anomalous, abusive, unsafe, or operationally disruptive.
7. AI Models and Third-Party Providers
ModelHive routes requests to third-party AI providers selected, enabled, or made available through the Service.
We do not control and do not guarantee:
- the availability of any model or provider
- the continuity of any provider integration
- the accuracy, reliability, legality, or safety of model outputs
- the data handling practices of third-party providers once a request is forwarded
Your use of third-party models remains subject to any applicable provider terms, policies, restrictions, and technical limitations.
8. Customer Data, Prompts, and Outputs
You retain ownership of the data, prompts, and other content you submit to the Service, and of outputs generated for you, subject to any rights or restrictions imposed by applicable law or third-party providers.
Unless expressly stated otherwise in writing, ModelHive:
- does not use Customer prompts or outputs to train proprietary or third-party models
- does not retain prompts or outputs longer than operationally necessary to process the request
- may process data transiently in memory to route, secure, optimize, filter, or enforce policies on requests
You are responsible for ensuring that you have all rights, consents, and legal bases required to submit data to the Service.
9. Data Sovereignty and Routing
ModelHive is designed to support EU data sovereignty controls and EU-only routing configurations.
Where enabled and available:
- requests may be routed only to approved EU-based providers or regions
- requests may be blocked if no compliant route is available
Customers remain responsible for selecting routing, providers, and configurations that meet their legal, regulatory, contractual, and internal compliance requirements.
10. Acceptable Use and Customer Responsibility
Customers are solely responsible for:
- the content they submit
- the outputs they use
- their downstream use of the Service
- compliance with applicable laws, regulations, and third-party restrictions
You must not use the Service to:
- generate, process, or distribute illegal, harmful, fraudulent, or abusive content
- violate privacy, confidentiality, or data protection laws
- infringe intellectual property or other third-party rights
- attempt unauthorized access, reverse engineering, or circumvention of safeguards
- interfere with, disrupt, or degrade the Service or related infrastructure
ModelHive may apply automated safeguards, including filtering, masking, or policy enforcement, to support compliance and service protection.
11. Intellectual Property
ModelHive and its licensors retain all right, title, and interest in and to the Service, including the platform, software, interfaces, optimization logic, documentation, branding, and related intellectual property.
These Terms do not transfer any ownership rights in the Service to you, except for the limited right to use the Service in accordance with these Terms.
12. Disclaimer of Warranties
The Service is provided "as is" and "as available".
To the maximum extent permitted by law, ModelHive disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
AI-generated outputs may be incorrect, incomplete, biased, unsafe, or misleading. ModelHive does not guarantee that outputs are accurate or suitable for any specific use case.
Any service level commitments apply only if expressly set out in a separate written agreement.
13. Limitation of Liability
To the maximum extent permitted by law, ModelHive shall not be liable for:
- indirect, incidental, special, consequential, or punitive damages
- loss of profits, revenue, business, goodwill, data, or business opportunity
- errors, hallucinations, downtime, or failures attributable to third-party models, providers, or infrastructure
ModelHive's total aggregate liability arising out of or relating to the Service or these Terms shall not exceed the total amount paid by the Customer to ModelHive for the Service in the three (3) months preceding the event giving rise to the claim.
14. Suspension and Termination
We may suspend, restrict, or terminate access to the Service immediately if:
- you violate these Terms
- your use creates security, legal, operational, or financial risk
- required by law, court order, or competent authority
- necessary to protect ModelHive, its customers, providers, or infrastructure
You may stop using the Service at any time.
Termination does not entitle you to a refund except where required by law or expressly agreed in writing.
15. Changes to the Service and Terms
We may update the Service, pricing, plans, features, providers, and these Terms from time to time.
If we publish updated Terms, continued use of the Service after the effective date of the update constitutes acceptance of the revised Terms.
16. Governing Law
These Terms are governed by the laws of Switzerland, excluding conflict of law principles.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Zug, Switzerland.
